Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Screen Bid at screenbid.lol (the “Service”), operated by Screen Bid (“Screen Bid,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Screen Bid is an early-stage product. The Service and its pricing, features, and inventory may change, and portions may operate in a test mode.
1. What Screen Bid is
Screen Bid is a marketplace that connects owners of physical screens (“Hosts”) with advertisers (“Buyers”). Hosts list screens and offer a set of ad tiles for sale. Buyers bid to display their logo on those tiles. Screen Bid provides the marketplace and payment tooling; Hosts are responsible for their screens and the spaces they operate.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to use the Service.
- Hosts must create an account. You are responsible for the activity under your account and for keeping your login secure.
- Buyers may bid without an account, but must provide accurate information and complete payment to secure a tile.
- You agree to provide accurate, current information and to keep it up to date.
3. Host responsibilities
- You represent that you own or have the right to sell advertising on each screen you list and in the space where it is located.
- You are responsible for displaying purchased tiles as described, keeping the screen powered on during listed times, and providing accurate details about viewership and location.
- The display player’s heartbeat is used to indicate whether a screen is on. You agree not to falsify liveness signals or viewership data.
- You may unpublish a screen, but you must honor tiles already sold for their guaranteed period.
4. Bidding and auctions
- Each tile is sold through an auction. Open tiles may be claimed at their base price.
- To take an occupied tile, your bid must exceed the current price by at least $1.00 or 10%, whichever is greater.
- A winning bid holds the tile for a guaranteed minimum of six (6) hours. After that period, the tile may be reopened and outbid.
- Placing a bid and completing checkout is an offer that becomes binding when payment is captured. Your logo is displayed once payment clears.
- Prices are shown in U.S. dollars unless stated otherwise.
5. Payments
Payments are processed by Stripe. By paying, you agree to Stripe’s terms and authorize us (through Stripe) to charge your payment method for the amount shown at checkout. Except where required by law or expressly stated, payments are non-refundable. During test phases, transactions may use test payment credentials and may be reversed or voided.
6. Advertiser content and license
- You represent that you own or are authorized to use any logo, brand, company name, website, or other content you submit, and that it does not infringe any third-party rights.
- You grant Screen Bid and the relevant Host a non-exclusive, worldwide, royalty-free license to display your submitted content on the Service and on the physical screens for the duration of your tile.
- We may refuse, remove, or take down content that violates these Terms or that we deem inappropriate, unlawful, deceptive, or harmful, at our discretion.
7. Prohibited uses
You agree not to:
- Submit content that is illegal, infringing, hateful, deceptive, sexually explicit, or otherwise objectionable.
- Impersonate any person or entity or misrepresent your affiliation.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its systems, or other users’ accounts.
- Manipulate auctions, falsify liveness or viewership data, or use the Service to defraud others.
- Use the Service in violation of any applicable law.
8. Intellectual property
The Service, including its design, text, and software, is owned by Screen Bid and protected by intellectual property laws. Except for content you submit, we grant you a limited, revocable, non-transferable license to use the Service for its intended purpose.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any screen will remain on, or that any specific level of viewership or exposure will be achieved.
10. Limitation of liability
To the maximum extent permitted by law, Screen Bid and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid to Screen Bid in the three (3) months before the claim or one hundred U.S. dollars ($100).
11. Indemnification
You agree to indemnify and hold harmless Screen Bid from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or the rights of any third party.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or to us. You may stop using the Service at any time.
13. Changes to these Terms
We may modify these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims resolution.
